Multi-Tenant SaaS Agreement & Merchant of Record

Welcome to Crewmark. These Terms of Service ("Terms") govern your use of our property operations, shift dispatching, and QA review platform. All payment transactions, subscription billing, and tax processing are handled by our Merchant of Record, Paddle.com.

1. Account Eligibility & Organizational Structure

By registering an account, starting a trial, or utilizing Crewmark, you represent that you are an authorized representative of a commercial business entity at least 18 years of age.

Role Definitions & System Permissions
  • Account Owner / Manager: Maintains full organizational control over client accounts, location setups, dispatch schedules, QA review, and billing settings.
  • Supervisor: Dedicated field QA role authorized to inspect shift proofs, issue rework dispatches, and review geofence exceptions (unlocked on Growth+ tiers).
  • Crew Member: Mobile technician account authorized to view assigned shift queues, complete checklist items, submit photo evidence, and trigger emergency panic alerts.

2. Multi-Crew Dispatch & QA Workflows

Schedules created in the Dispatch module represent operational shift assignments. Multi-cleaner crew dispatching (assigning 2 or more cleaners to a single commercial shift), automated recurring shifts, and proximity route sequence optimization require an active Growth, Scale, or Enterprise plan tier.

When a manager or supervisor flags a shift for rework, Crewmark automatically generates a Rework Job scoped to the failed tasks. The Customer remains responsible for establishing contractual service standards with its commercial clients.

3. Field Evidence Data, Photo Capture & Geofencing

Field evidence submitted via the Crew Portal is processed via:

  • Live Camera Capture: Uses device camera feeds to generate images with hardcoded, burned-in GPS coordinates and UTC timestamps directly on the image canvas (tagged as source: 'camera').
  • Gallery Uploads: Uses pre-captured image files selected from device storage (tagged as source: 'gallery').
  • GPS Geofencing: Geolocation is checked strictly during clock-in to verify site proximity. Strict geofence blocking (Growth+) prevents off-site clock-ins unless a supervisor geofence exception is approved.
Panic Emergency Alerts Disclaimer

The Crew Portal Panic Button is an operational safety notification tool that broadcasts real-time alerts to managers. Crewmark is not a substitute for emergency services (e.g., 911). Technicians must contact local emergency services directly during life-threatening events.

4. Subscription Terms, Paddle Billing & Seat Capacity

Our order process and subscription billing are managed by our Merchant of Record, Paddle.com. Payments, sales tax (VAT/GST), and invoicing are processed directly by Paddle.

Subscriptions auto-renew at the end of each billing cycle unless canceled prior to the renewal date. If your active team member count exceeds your plan seat capacity, you receive a 7-Day Grace Period to upgrade your plan tier or adjust active seats before overage billing applies. 5. Intellectual Property & Data Ownership

Customer retains all ownership rights to client lists, property locations, checklist templates, and photo evidence uploaded to the Platform. Customer grants Crewmark a worldwide, royalty-free license to host and display Customer Data solely to operate the Platform.

Crewmark retains all rights, title, and interest in and to the Platform codebase, UX interfaces, software design, and trademarks.

6. Limitation of Liability & Contact

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWMARK AND PADDLE SHALL NOT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES. CREWMARK'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
